Referral Program Terms and Conditions

Welcome to our Seller Referral Program! By participating in this program, you agree to the following terms and conditions:
**WHEREAS** the parties to this agreement reached an agreement, and wish to record such agreement in writing, as set out below:
1. INTERPRETATION

• 1.1 In this agreement, unless the context indicates a contrary intention, the following words and expressions bear the meanings assigned to them and cognate expressions bear corresponding meanings:
• 1.1.1 “Auction” means the Hunt And Gun, as conducted by Hunt And Gun (Pty) Ltd;
• 1.1.2 “Item/s” means any item placed on auction by a person;
• 1.1.3 “Referral” means a referral of an individual or company not on the Hunt And Gun system by an individual already on the Hunt And Gun;
• 1.1.4 “Sale” means a successful sale on the Hunt And Gun, which is concluded by the payment from the buyer and delivery by the seller;
• 1.1.5 “Referred individual/company” shall mean an individual/company referred to Hunt And Gun by the referring party.
2. ELIGIBILITY

• 2.1 Participation in the referral program is open to individuals aged 18 years or older.
• 2.2 Referrers must have a valid account with the Hunt And Gun platform.
• 2.3 The referred party must not have been previously registered or active on the Hunt And Gun platform.
3. PROGRAM OVERVIEW
• 3.1 Referrers will earn a referral fee of 30% of the commission received by Hunt And Gun for the successful delivery fees generated by sellers referred through their unique referral link.
• 3.2 A "successful delivery" is defined as a transaction in which the item is delivered to the buyer, and the sale is finalized without dispute or return.
• 3.3 Payment for the referral will be linked to the first three (3) auctions that the referred individual/company participates in and concludes a successful sale.
• 3.4 If the referred individual/company participates in an auction but does not conclude a sale, that auction will be deemed unsuccessful and will not count towards the first three auctions.
4. REFERRAL TRACKING AND PAYMENT
• 4.1 Referrals must use the unique referral link provided to the referrer to be eligible for the program.
• 4.2 Payments for successful referrals will be processed 14 days after the successful delivery of items sold by the referred party.
• 4.3 Payments will be made to the payment method specified in the referrer’s account settings. Any disputes or delays caused by incorrect payment details will not be the responsibility of Hunt And Gun.
  5. COMMISSION LIMITATIONS
• 5.1 After the first three (3) auctions are concluded, the referred party becomes a regular client of Hunt And Gun, and no further commissions are payable for transactions involving that party.
• 5.2 Commissions are not transferable, refundable, or exchangeable for other benefits.
  6. PARTIES
• 6.1 This Agreement is entered into by and between:
• 6.1.1 Hunt And Gun (Pty) Ltd, located at 90C Marsh Street, Mossel Bay, 6500; and
• 6.1.2 The Referring Party, whose details are provided during the online sign-up process and recorded as part of their registration.
7. ADDRESS FOR LEGAL NOTICES
• 7.1 Both parties agree that the addresses provided above will be used for receiving any legal notices related to this agreement.
• 7.2 Any notice or communication required under this agreement must be in writing to be valid.
• 7.3 Notices sent by registered mail to the agreed addresses will be considered received 14 business days after being sent, unless proven otherwise.
8. LIMITATIONS AND DISQUALIFICATIONS
• 8.1 Referrers are not eligible for commissions if fraudulent or deceptive activity is detected in the referral process.
• 8.2 Referrals do not apply to individuals or companies already registered or active in the auction system prior to using the referral link.
9. TAXES
• 9.1 It is the sole responsibility of the referrer to report and pay any applicable taxes on commission earnings in accordance with local laws and regulations.
10. PROGRAM VALIDITY
• 10.1 This referral program is subject to change or termination at any time without prior notice.
• 10.2 In the event of program updates, existing participants will be notified of any material changes affecting their commissions.
11. LIABILITY
• 11.1 Hunt And Gun shall not be responsible for any losses, damages, or technical issues arising from participation in the referral program.
• 11.2 By joining the program, participants agree not to hold Hunt And Gun liable for delays in payment processing or other related matters beyond its control.
12. DISPUTE RESOLUTION
• 12.1 Any disputes related to the referral program will be handled in accordance with Hunt And Gun’s dispute resolution process.
• 12.2 The decision of Hunt And Gun in any matter relating to the program shall be final and binding.
13. TERMINATION OF PARTICIPATION
• 13.1 Hunt And Gun reserves the right to terminate any participant’s access to the referral program if they are found in violation of these terms and conditions.
• 13.2 Accounts suspended or terminated from the auction system for any reason will forfeit all unpaid commissions.
14. MISCELLANEOUS
• 14.1 **Warranty of Authority**: Each party warrants that they have the authority to enter into this agreement.
• 14.2 **Further Assurances**: The parties agree to perform further acts or execute documents as necessary to carry out the purpose of this agreement.
• 14.3 **Whole Agreement**: This document constitutes the entire agreement between the parties concerning the referral program.
• 14.4 **Variation**: No amendment to this agreement shall be effective unless in writing and signed by both parties.
• 14.5 **Relaxation**: Any leniency or delay in enforcing the terms of this agreement shall not constitute a waiver of rights.
• 14.6 **Severability**: If any provision is deemed unlawful or unenforceable, the remaining provisions shall remain in effect.
